On December 10, 2009, the Executive Board and the Supervisory Board of Salzgitter AG submitted their Declaration of Conformity with the German Corporate Governance Code, pursuant to Section 161 of the German Stock Corporation Act (AktG) as set out below:

“All recommendations of the Government Commission of the German Corporate Governance Code released by the Federal Ministry of Justice in the official part of the electronic German Federal Gazette have been complied with at Salzgitter AG except the this year changed code number 3.8 paragraph 2; the recommended regulation referring to the amount of deductible for D&O-Insurance for members of the executive board and the supervisory board will be included into the insurance contract from January 1, 2010 on.”
